Terms of Sale & Legal Disclaimer
The following terms apply to all equipment sold by Rotala International LLC through our website, invoices, quotes, and direct sales.
Section 1 — Equipment Condition
ALL EQUIPMENT IS SOLD "AS-IS, WHERE-IS, WITH ALL FAULTS"
All equipment sold by Rotala International LLC is USED medical equipment and is sold strictly AS-IS, WHERE-IS, WITH ALL FAULTS, and without any warranty, expressed or implied.
Equipment may be untested and may require inspection, repair, calibration, servicing, or certification prior to any use.
Rotala International LLC makes no representations or warranties regarding performance, functionality, merchantability, or fitness for any particular purpose.
Rotala International LLC is not the manufacturer of the equipment and assumes no manufacturer liability for any device sold.
Section 2 — Intended Use
Unless otherwise stated in writing, equipment is offered strictly for:
- Parts
- Repair
- Training
- Research
- Resale
- Export
Equipment is NOT certified for clinical or patient use in the United States.
Section 3 — Services Not Provided
Rotala International LLC does NOT provide:
- Installation
- Setup
- Calibration
- Inspection
- Certification
- Maintenance
- Technical support
- Training
Rotala International LLC is not a Florida-licensed Home Medical Equipment (HME) provider. Florida Statute §400.93 does not apply because we do not sell home medical equipment to Florida consumers for home use.
Section 4 — Buyer Responsibility
The buyer assumes full responsibility for:
- Inspection and evaluation of equipment
- Compliance with all applicable federal, state, and international laws
- FDA export documentation where required
- Import regulations of the destination country
- Decontamination and biohazard clearance
- Any required repair, servicing, or recertification
Section 5 — Shipping and Risk of Loss
Risk of loss transfers to the buyer once the equipment is released to the carrier or made available for pickup.
Shipping timelines and transport conditions are the responsibility of the carrier.
Section 6 — Returns and Warranty
ALL SALES ARE FINAL
Section 7 — Limitation of Liability
Buyer agrees to indemnify and hold harmless Rotala International LLC, its owners, employees, and affiliates from any claims, damages, injuries, or liabilities arising from the possession, transport, resale, or use of the equipment.
Section 8 — Resale and Secondary Distribution
Buyer acknowledges that any resale, transfer, redistribution, export, modification, or secondary sale of equipment purchased from Rotala International LLC is solely the responsibility of the buyer.
Rotala International LLC shall have no liability for any subsequent resale, transfer, export, servicing, modification, or use of the equipment by any third party.
Buyer agrees to indemnify and hold harmless Rotala International LLC, its owners, employees, and affiliates from any claims, damages, injuries, regulatory actions, or liabilities arising from the resale, redistribution, export, or secondary use of the equipment.
Section 9 — Acceptance of Terms
Purchase, payment of invoice, or acceptance of delivery constitutes full acceptance of these Terms of Sale.
